Rule 1)
Name

Dagenham Rugby Football Club. [“The Club”]

Rule 2)
Objects of the Club

Dagenham Rugby Football Club is committed to the core principles of:
- Promoting participation in sport and the playing of Rugby Union Football in accordance with the best spirits and traditions of the game, fair play and equal opportunities for all.
- Community access to sports facilities and the provision of a Clubhouse
- To promote any other game or activity that shall be incidental to, but never take precedence over the playing of the game of Rugby Union Football.

In support of these principles, the Club is committed to:
- Providing adult Rugby Union sides.
- promoting sports development, through the provision of a full range of Adult teams.
- provide a headquarters offering social and welfare amenities to its members, referees, members of other clubs and guests properly elected as associate members in accordance with the provisions of the Licensing Acts in force from time to time.
- providing sports facilities for other clubs and institutions.
Additionally, the club has always contributed to the sporting life of the community in the Dagenham area and has also consistently supported the development of Rugby Union in both Eastern Counties and Essex

Rule 3)
Definition and Address

The Club is a members club and the premises of the Club shall be at:
The Pavilion
Central Park
Rainham Road North
Dagenham
Essex
RM10 7EJ

Rule 4)
Club Colours

The Club Colours shall be red and white quarters, 1st XV, white and one red hoop 2nd XV and red and white hoped 3rd XV, white shorts, red and white hooped socks and that all members shall wear these colours when representing the Club in rugby matches. No kit bearing the club logo[s] shall be purchased without the express permission of the Management Committee.

Rule 5)
Membership

a) The Club shall be affiliated to the Rugby Football Union and any, but at least one, of their constituent bodies.
Membership of the Club shall be determined by the Membership and Secretarial Committee and sanctioned by the Management Committee. The Membership Period shall run from 1st September until August 31st of the following year.

b) Membership Categories of Dagenham RFC:
Senior Membership [aged 18 years and over]
Full
Associate

c) Rules of Membership:
Club members are required to abide by the relevant sections of the Constitution of Dagenham Rugby Football Club, a copy of which is available for perusal at the Clubhouse on request.

d) Subscriptions:
see below for details of subscriptions and application for membership.
All playing member applicants are required to pay a joining fee - see under Membership Application below.

e) Benefits of Membership
i) Playing of Rugby Union Football:
all members other than Associate members may play for the Club provided that they comply with regulations governing age or gender for a particular team and upon payment of all appropriate dues.
ii) Attendance at General Committee meetings:
all members may attend a General Committee meeting as observers only unless they are members of that Committee.
iii) Voting: all members over eighteen years of age may vote at Annual General Meetings and Extraordinary General Meetings of the Club, subject to the relevant current annual subscription having been paid.
iv) Attendance at social events:
a member may bring his/her partner to sports and social events staged by the Club. Membership also allows the children of a family to attend such events. Certain events may require payment of a fee by those attending.
v) International Match Tickets:
all members are entitled to apply for England International Rugby Match tickets.

f) Membership Application
Playing Categories (Full) require completion of an application form enclosing a £40 joining fee. The form and fee must be lodged with the Club Captain, Bar Manager or Membership Secretary before the new player can represent the club, in order to be granted interim membership and thus to comply with RFU player insurance criteria.
Associate - require completion of an application form enclosing a £5 joining fee. The form and fee must be lodged with the Club Captain, Bar Manager or Membership Secretary.

g) Granting of Membership:
General Committee Meetings will consider the new applications for all categories, those successful being advised by letter. Members may pay by cash or cheque, the full year's subscription being payable no later than six weeks from receipt of the letter granting membership.
Unsuccessful applicants will be advised of that decision in writing by the Secretary and if a joining fee was paid for playing membership the fee will be returned.

Rule 6)
Subscription

a) Subscription rates are agreed at the Club Annual General meeting.

b) Members who do not pay their subscriptions, in full, within one month after the due date, shall not be eligible for selection to play and will become liable to immediate suspension by the Management Committee.

c) New members will not be entitled to play until their subscription has been paid. New members may not be admitted to membership, or be admitted as candidates for membership, to any of the privileges of membership without an interval of at least two days between their nomination for membership and their admission. Those becoming members without prior nomination or application may not be admitted to the privileges of membership without an interval of at least two days between their becoming members and their admission.

d) Subscriptions shall become due on the 1st September each year or, in the case of the second half of the season, on the 1st January; and shall be fixed at half the full rate for the second half of the season.

Rule 7)
Registers of Members

The Club maintains an up-to-date Register which is available for inspection on request.

Rule 8)
Cessation of Membership

That any member who resigns as a member of Dagenham Rugby Football Club, or who fails to pay his subscription by the due date, or who in any way infringes the Rules of the Club shall cease forthwith to be a member of the Club at the discretion of the Management Committee, who may order that such name to be struck off the Club register and the Membership Card of that person shall be returned and cancelled.

Rule 9)
Management of the Club

The affairs of the Club shall be controlled by the Management Committee, the Club Executive and various sub-committees [both standing and appointed as necessary by the Management Committee].

a) The Management Committee
The Management Committee shall consist of certain officers of the Club, who are:
The President
The Club Chairman
The Vice Chairman
The Club Secretary
The Club Treasurer
The Club Captain

... and they shall constitute the ex-officio members of the Management Committee, together with other members to be elected from the membership of the Club at the Annual General Meeting.
- Six members of the Management Committee constitutes a quorum provided their is at least one member representing each sub-committee empowered at that time, together with the Club Chairman or the President.
- Meetings of the Management Committee shall be held at such intervals, as the Management Committee shall determine, provided that it meets at least four times per annum.

b)The Club Executive
The Club Executive shall consist of certain officers of the Club, who are:

The Club Treasurer

The purpose of the Club Executive shall be, from time to time, to conduct the day-to-day business of the Club as necessity dictates, particularly where decisions must be made which cannot wait until the next Management Committee meeting. All decisions made by the Club Executive are to be ratified by the Management Committee at the first opportunity.

c) Standing Sub-Committees
the running of the Club shall also be assisted by certain standing sub-committees which will manage the day to day functions of the club within the area of responsibility of that particular sub-committee. The Standing Sub-Committees and their compositions are:

And/or other persons as appointed by the Management Committee

d) Additional Sub-Committees
To assist the smooth running of the Club, the Management Committee may appoint additional sub-committees as it deems necessary [see Rule 10)a) below]

Rule 10)
Powers of the Management Committee, Club Executive and Sub-Committees

The Management Committee shall have the following powers:
a) Appoint such sub-committees, as it deems necessary, from time to time, to conduct the day-to-day business of the Club, with such powers as shall be determined by the Management Committee.

b) In the event of a vacancy arising in the Management Committee or any sub-committee that committee shall have the power to fill that vacancy. Each committee, by a simple majority of those present, shall have the power to co-opt members from time to time.

c) Elect Honorary Members.

d) Any member who, as a player, official or spectator offends against the bye-laws of the Rugby Football Union, or against the Laws of the Game or who brings the Club into disrepute shall be subject to suspension or dismissal from the Club, should the Management Committee so decide; the member in question being afforded the opportunity of giving a personal explanation to the Management Committee before the Management Committee makes its decision.

e) Any player who is dismissed from the field of play by the referee in charge of the game shall be liable, at the Management Committee's discretion, for any costs arising out of the inquiry held by the constituent body.

f) Any member who offends against the Club by way of damage or other mischief shall be held responsible for that offence and shall be subject to suspension or dismissal from the Club, should the Management Committee so decide; the member in question being afforded the opportunity of giving a personal explanation to the Management Committee before the Management Committee makes its decision. If the Club member in question is under the age of 18 then their parent/s shall be held responsible for any damage occurred.

g) Have discretionary borrowing power: and that it may appoint Trustees from time to time required for this purpose.

h) Raise money by mortgage, or by any other method of finance, for the purchase of land or other real property. Purchases, using money raised for land or other real property will be transacted by one of the following methods;
i) the Trustees will be empowered by resolution of the Management Committee to purchase such property, which will be held by them in accordance with the powers specified in Rule 10)c).
ii) The Management Committee may purchase such property. Where purchases are made by the Management Committee, the President of the Club is authorised to sign any contract on behalf of the Management Committee of the Club.

A Management Committee decision to purchase shall be in the form of a resolution passed in the majority of those present at a quorate meeting of that Committee, of which a minute in the Minutes of the Management Committee shall be conclusive evidence.

i) Appoint Trustees to manage and direct funds for investment on the Club's behalf.

j) Fix the date of the Annual General Meeting and call that meeting.

k) An Extraordinary General Meeting may be held at any time at the discretion of the Management Committee, or at the written request of not less than fourteen voting members of the Club. Seven days notice shall be given to voting members in writing, stating time, place and object of such a meeting, thirty voting members forming a quorum.

l) That the Management Committee shall have the power to appoint the Club Coach[es], the Squad Managers and the Team Captains and that these appointments need not be voted upon or ratified by the membership at the Annual General Meeting. Additionally, the Management Committee shall have the power to appoint the Club's Child Protection Officer and that this appointment need not be voted upon or ratified by the membership at the Annual General Meeting.
The Club Executive shall have the following powers:

m) To conduct the day-to-day business of the Club as necessity dictates, particularly where decisions must be made which cannot wait until the next Management Committee meeting

n) All decisions made by the Club Executive are to be ratified by the Management Committee at the first possible opportunity.

o) Deal with any matters as may arise as directed by the Management Committee.
The Standing Sub-Committees shall have the following powers:

p) To conduct the day-to-day business of the Club with such powers as defined by the Management Committee

q) All decisions made by the Standing Sub-Committees are to be ratified by the Management Committee at the first possible opportunity.

r) Deal with any matters as may arise as directed by the Management Committee.

Rule 11)
Annual General Meeting

The Annual General Meeting will be held on such a day as the Management Committee may appoint, within a reasonable time after 30th April. The business of the Annual General Meeting shall consist of:

a)
i) the election of officers of the Club, ex-officio members of the Management Committee, Auditors, and consideration of special business.
ii) The financial position of the Club duly audited, as at 30th April each year shall be presented by the Treasurer, who shall keep all accounts of the Club.
iii) Fix the level of annual subscription for members, which may have differing rates.

b) Notice of any special business must be given to the Secretary fourteen days before the Annual General Meeting. Details of such business must be displayed in the Club House seven days prior to the Annual General Meeting and an agenda notice sent at that time.

c) Notice of that date and time of the Annual General Meeting will be displayed twenty-one days before the meeting in the Club House on the Club website and will be circulated to all members.

d) A quorum for the Annual General Meeting shall be formed by thirty voting members being present.

e) The Chairman shall take the chair at the Annual General Meeting and will have a second or casting vote on equality of votes.

Rule 12)
Indemnity of Officers, Trustees and Employees

Each Officer, Trustee and Employee of the Club shall be effectually indemnified by the Management Committee out of assets of the Club from and against any liability, costs, expenses and payments whatsoever which may be properly incurred or made by them in the exercise of their duties or relation to any property of the Club vested in them, or in relation to any legal proceedings, or which otherwise relate directly or indirectly to the performance of their functions as an Officer, Trustee or Employee of the Club.

Rule 13)
Other

a) No alteration to these rules may be made except at a General Meeting. Notice of any alteration, abrogation or addition to these rules, together with the names of the proposer and seconder, shall be given to the Secretary fourteen days before the date of the General Meeting. Voting on any alteration, abrogation or addition to the rules will require a two thirds majority of those present and voting; except for Rules 1, 2a], 2c], 4 and 13a] which will require a 95% majority of all voting members, for which purpose the Secretary will send voting forms with the notice of the Meeting.

b) That all monies shall be paid to the Treasurer who shall keep the necessary accounts and shall present at the General Meeting a full statement of the Clubs finances duly audited.

c) No smoking is allowed in the changing rooms.

d) The Club is authorised by the members to retain such relevant information as is required or necessary on a Computer Data File. The information held will not be passed on to any outside body.

e) If any question arises which the rules of the Club do not provide, the Management Committee shall have the power to deal with the matter and their decision shall be final.

f) The Child Protection Officer is appointed by the Management Committee and has the power to attend any committee or sub-committee meetings. The Child Protection officer is responsible for the implementation of the Club's Child Protection Policy must report direct to the Club Executive. It is acknowledged that the Child Protection Officer also has responsibilities which may fall outside the confines of these rules.

g) That the Club shall be opened during licensed hours and as determined by the Management Committee.

h) That a copy of these Rules shall be displayed in the Club House.
